AGREEMENT TO OUR LEGAL TERMS
We are Moskalenko LLC, doing business as Onsite Observer ("Company," "we," "us," or "our"), a company registered in California, United States, at 5750 Sunrise Blvd STE 210-I, Citrus Heights, CA 95610.
We operate the website https://www.onsiteobserver.com (the "Site"), our newsletters, and related services (collectively, the "Services"). Onsite Observer publishes news and analysis about development and business in the Sacramento region.
These Legal Terms constitute a legally binding agreement between you ("you") and Moskalenko LLC concerning your access to and use of the Services. By accessing the Services, you agree to be bound by these Legal Terms. If you do not agree with all of these Legal Terms, you must discontinue use of the Services immediately.

1. OUR SERVICES
In Short: We publish local journalism. Some of it is free, some requires a free account, and some requires a paid subscription.
Onsite Observer provides news coverage, analysis, photography, video, and newsletters focused on development and business in the Sacramento region. Access levels vary by content: some content is public; some requires a free registered account; and some requires a paid subscription. We may change, add, or remove content, features, or access levels at any time.
The Services are intended for users who are at least 18 years old.
2. USER ACCOUNTS
In Short: Keep your account information accurate, keep your access secure, and don't share paid access.
You agree to provide true, accurate, and current information when creating an account and to keep it updated. Sign-in occurs via secure links sent to your email address; you are responsible for maintaining the security of that email account.
Accounts are personal. Paid access may not be shared, resold, or made available to others outside your household. If your office or team wants access, contact us about group subscriptions at admin@onsiteobserver.com. We reserve the right to suspend or terminate accounts that violate these Legal Terms.
3. SUBSCRIPTIONS, BILLING, AND CANCELLATION
In Short: Subscriptions renew automatically. Cancel anytime and keep access through the period you paid for. Payments are non-refundable except where the law says otherwise.
Billing. Paid subscriptions are billed in advance on a monthly or annual basis through our payment processor, Stripe, and renew automatically until cancelled. By subscribing, you authorize recurring charges to your payment method.
Cancellation. You may cancel at any time from your account settings. Cancellation stops future renewals; you retain access through the end of your current billing period.
Refunds. Except where required by law, payments are non-refundable, including for partially used billing periods. If you believe you were billed in error, contact us within 30 days at admin@onsiteobserver.com and we will make it right.
Price changes. We may change subscription prices. Existing subscribers will be notified by email at least 30 days before a new price takes effect, and changes apply from your next renewal — you may cancel before then if you do not accept the new price.
Failed payments. If a renewal payment fails, we (or tooling operating on our behalf) may retry the charge and contact you to update your payment method before suspending paid access.
4. INTELLECTUAL PROPERTY RIGHTS AND YOUR LICENSE
In Short: We own our content. You may read it, share links to it, and quote briefly with attribution. You may not republish it, scrape it, or use it to train AI systems.
Our intellectual property. All content in the Services — articles, photographs, video, graphics, logos, and data compilations (the "Content") — is owned or licensed by Moskalenko LLC and protected by copyright, trademark, and other intellectual property laws in the United States and elsewhere.
Your license. We grant you a limited, personal, non-commercial, non-transferable, revocable license to access and view the Content you are entitled to under your access level.
What you may do: share links to our Content freely (please do); quote brief excerpts with attribution and a link to the original.
What you may not do without our prior written permission: republish, reproduce, distribute, or publicly display Content; systematically scrape, crawl, download, or archive Content; use Content, in whole or in part, for the training, fine-tuning, or grounding of machine-learning or artificial-intelligence systems; or remove any copyright or proprietary notices.
Paywalled Content is for authorized subscribers only. Circumventing the paywall, or redistributing paywalled Content beyond brief attributed quotes, is a violation of these Legal Terms and may result in termination of your account.

5. PROHIBITED ACTIVITIES
In Short: Use the Services as a reader, not as a means to harm the Services or others.
You agree not to: access the Services through automated means (bots, scrapers) except standard search-engine indexing of public pages; attempt to bypass access controls or paywalls; interfere with the security or operation of the Services; upload malicious code; harvest information about other users; impersonate us or others; use the Services to send spam or unsolicited commercial messages; frame or mirror the Services; or use the Services for any unlawful purpose.
6. COMMENTS AND READER SUBMISSIONS
In Short: You own what you write; you give us the right to display and moderate it. Be civil and lawful.
Paid subscribers may comment on articles. You retain ownership of your comments, and you grant us a perpetual, worldwide, royalty-free license to use, display, reproduce, and moderate them within the Services.
You agree that your comments will not: be unlawful, defamatory, harassing, threatening, or hateful; invade anyone's privacy; infringe any third party's rights; contain spam or commercial solicitation; or impersonate another person. We may remove any comment and revoke commenting privileges at our sole discretion, without notice. Comments reflect the views of their authors, not of Onsite Observer.
7. NEWS TIPS
In Short: We welcome tips. By sending one, you confirm you have the right to share it.
Information and materials submitted to our tip line or reporters may inform our reporting. By submitting a tip, you represent that you have the right to share the information and materials you send, and you grant us the right to use them in our journalism. We do not pay for tips. Source confidentiality is addressed in our Privacy Policy.
8. SPONSORSHIPS AND ADVERTISING
In Short: Sponsored content is always labeled, and sponsors don't influence coverage.
The Services may include sponsor messages and advertising, which are always clearly labeled. Sponsors and advertisers have no influence over our editorial coverage, and sponsorship does not constitute endorsement by us. Your dealings with any sponsor or advertiser are solely between you and them.
9. ACCURACY, CORRECTIONS, AND NO PROFESSIONAL ADVICE
In Short: Our reporting is journalism, not investment, legal, or real-estate advice.
We work to get things right and correct errors transparently in accordance with our corrections policy. However, Content is provided for general informational purposes only. It does not constitute investment, financial, legal, tax, or real-estate advice, and you should not act or refrain from acting on the basis of Content without seeking advice from a qualified professional. Development projects, permits, and plans we report on change frequently and may not proceed as described. We may update or correct Content at any time without notice.
10. THIRD-PARTY WEBSITES AND CONTENT
The Services may contain links to third-party websites and embedded third-party content (such as hosted video). Such websites and content are not investigated, monitored, or checked for accuracy or completeness by us, and we are not responsible for them. Inclusion of a link does not imply our endorsement. Your use of third-party websites is at your own risk and subject to their terms and policies.
11. SERVICES MANAGEMENT AND TERMINATION
We reserve the right to: monitor the Services for violations of these Legal Terms; take appropriate legal action against violators; restrict, suspend, or terminate your access (including paid access) for violation of these Legal Terms; and otherwise manage the Services to protect our rights and their proper functioning.
You may stop using the Services and delete your account at any time. If we terminate a paid account without cause, we will refund the unused portion of your current billing period. If we terminate your account for violation of these Legal Terms, you are not entitled to a refund, and you may not create a new account without our permission.
12. MODIFICATIONS AND INTERRUPTIONS
We may change, suspend, or discontinue any part of the Services at any time. We do not guarantee the Services will be available at all times; we may experience hardware, software, or other problems, or need to perform maintenance, resulting in interruptions. We will not be liable for any loss caused by your inability to access the Services during any downtime.
13. GOVERNING LAW AND DISPUTE RESOLUTION
These Legal Terms are governed by the laws of the State of California, without regard to its conflict-of-law principles. Any dispute arising from these Legal Terms or the Services will be resolved in the state or federal courts located in Sacramento County, California, and you consent to the personal jurisdiction of those courts. Both parties waive any right to a jury trial to the fullest extent permitted by law. Any claim must be brought within one (1) year after it arises, or it is permanently barred. (Optional: consider an arbitration or small-claims clause — consult your attorney.)
14. DISCLAIMER
THE SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND YOUR USE THEREOF, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE MAKE NO WARRANTIES ABOUT THE ACCURACY OR COMPLETENESS OF THE SERVICES' CONTENT OR THE CONTENT OF ANY LINKED WEBSITES.
15. LIMITATIONS OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL MOSKALENKO LLC OR ITS MEMBERS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, OR LOSS OF DATA, ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US DURING THE TWELVE (12) MONTHS PRIOR TO THE CLAIM ARISING, OR $50 IF YOU HAVE PAID NOTHING. SOME LAWS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OR ALL OF THESE LIMITATIONS MAY NOT APPLY TO YOU.
16. INDEMNIFICATION
You agree to defend, indemnify, and hold us harmless from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees, made by any third party due to or arising out of: your comments or submissions; your use of the Services; your breach of these Legal Terms; or your violation of the rights of a third party.
17. ELECTRONIC COMMUNICATIONS
Visiting the Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications from us, and you agree that all agreements, notices, and disclosures we provide electronically satisfy any legal requirement that such communication be in writing.
18. MISCELLANEOUS
These Legal Terms and any policies posted on the Services constitute the entire agreement between you and us. Our failure to enforce any provision is not a waiver. If any provision is held unenforceable, the remainder remains in effect. We may assign our rights and obligations; you may not assign yours without our consent. Nothing in these Legal Terms creates any partnership, employment, or agency relationship between you and us.
We may update these Legal Terms from time to time. Material changes will be indicated by the "Last updated" date above and, where appropriate, noted on the Services or by email. Continued use after changes take effect constitutes acceptance.
